What is the difference between an independent contractor and an employee?

An independent contractor runs their own business, controls how the work gets done, pays their own taxes and gets no employee benefits, while an employee works under the employer's direction and gets benefits and tax withholding. The Independent Contractor Status clause states this, but misclassifying a worker carries tax and labor-law risk, so confirm the classification fits and check local rules.

What do the confidentiality, IP and non-compete toggles change?

Each toggle adds or removes a clause and the sections renumber so the document stays clean. Confidentiality binds the contractor to protect the client's non-public information, IP assignment transfers the work product to the client once paid, and non-compete limits competing work for a period after the engagement.

Who owns the work the contractor produces?

If you enable the Intellectual Property / Work Product clause, the contractor assigns all rights in the work product to the client upon full payment, treated as work made for hire where the law allows. Leave it off and the contractor retains those rights unless you agree otherwise.

Can I edit the agreement after generating it?

Yes. Download the .txt file or copy the text into your word processor and adjust any clause. Empty fields show bracketed placeholders like [governing jurisdiction] so you can spot what still needs filling in.
