Frequently asked questions

What is the difference between a mutual and a one-way NDA?

In a mutual NDA both parties expect to share confidential information, so each side acts as both a disclosing and a receiving party. In a one-way NDA only one party (party one) discloses, and only the other party (party two) takes on the confidentiality obligations. This tool changes the clause wording to match the type you pick.

Is my information uploaded anywhere?

No. The agreement is assembled entirely in your browser with JavaScript. Nothing you type is uploaded, stored or sent to a server, so you can safely use real names and terms.

Is this legal advice, and can I rely on the document as is?

What does the term length control?

The term in years sets how long the confidentiality obligations last from the effective date, and it is written into clause 5. Note that obligations covering genuine trade secrets are drafted to survive for as long as the information stays a trade secret under applicable law.

Which clauses does the generated NDA include?

Eight numbered clauses: parties, definition of confidential information, obligations of the receiving party, exclusions, term, return or destruction of materials, governing law, and a signature block for each party.

Can I edit the agreement after generating it?
