Is a letter of intent legally binding?

Usually not. Most letters of intent are non-binding and only record the parties' intention to negotiate a deal, while a few clauses (such as confidentiality, good faith and governing law) are often binding. This tool lets you state clearly whether the letter is binding or non-binding, but it is not legal advice.

What should a letter of intent include?

A typical LOI names the parties and the date, states the subject and intent of the deal, lists the key terms, says whether it is binding, and adds good-faith, confidentiality and governing-law language plus signature lines. This generator produces all of those sections.

What is the difference between an LOI and a contract?

A letter of intent outlines the main terms and the intention to proceed, often before due diligence, and is usually non-binding. A contract is the definitive, binding agreement that follows. The LOI commonly says it will be superseded by a definitive agreement.
